Refer-a-friend – Terms and Conditions

 

1. Subject Matter

1.1 VAHA Technologies Ltd. (VAHA) offers you (User) the opportunity to receive benefits (Rewards) for recommending VAHA's products and services (a Referral) to your friends, family members or colleagues (Friends) subject to these terms and conditions (Terms).

1.2 You will only be eligible for a Reward if you have made a Referral in compliance with these Terms. If you do not agree to these Terms in their entirety, you are not entitled to receive any Rewards from a Referral. 

1.3 We reserve the right to amend or change these Terms at any time, including the eligibility criteria applicable to any Rewards. VAHA reserves the right to exclude a User from receiving any Reward at any time if the User does not comply with these Terms or otherwise with applicable law.

1.4  VAHA reserves the right to suspend or discontinue the granting of any Rewards at any time, without prior notice to any Users.

1.5 In these Terms references to the purchase of a VAHA mean the purchase of a VAHA fitness mirror.

 

2. Eligibility

2.1 To be eligible for a Reward in respect of a Referral:

a) you must:

  1. be a natural person;
  2. be resident in the United Kingdom (excluding Northern Ireland);
  3. be at least 18 years of age; 
  4. have an active VAHA membership; and
  5. not act in a way that is prohibited under clauses 6 or 7 of these Terms;

b) the recipient of the Referral must:

  1. be a natural person;
  2. be resident in the United Kingdom (excluding Northern Ireland);
  3. be at least 18 years of age; 
  4. have completed the purchase of a VAHA using your unique Referral code (displayed in your VAHA App) - purchases made by a recipient of a Referral that are not made using your unique Referral code will not entitle you to a Reward; 
  5. have purchased a VAHA membership which has been active for at least 30 days (the Required Period) and has no payment arrears;
  6. not have returned their purchased VAHA for any reason within the Required Period; and
  7. not already be registered as a VAHA customer under any email address or pseudonym; and

c) the Referral must:

  1. not be prohibited by any applicable law or regulation; and
  2. be made in accordance with clause 3 of these Terms.

2.2 Only if all of the above criteria are met will the person making a Referral (a Referor) be eligible for a Reward. Any eligible Rewards will be credited to you automatically – separate registration is not necessary. Please contact our customer services if you believe you are entitled to a Reward that has not been credited to you.

2.3 Employees of VAHA, service providers of VAHA or their affiliates, or any subsidiaries of VAHA, advertising agencies, and persons associated with such employees, including immediate family members and persons in the same household, are not eligible to receive awards.

2.4 You may refer multiple customers to VAHA and may, if the above conditions are met, qualify for a Reward in respect of each Referral.  However, only the first purchase of a VAHA by a recipient of a Referral will be eligible for a Reward.  Additional or subsequent purchases made by the same recipient are not eligible for additional Rewards.

2.5 You must not recommend VAHA's products and services to people that you do not know or to Friends that you know would not be happy to receive the communication.

 

3. Making a Referral

3.1 To make a Referral, you must either:

a) use the VAHA App to send an individualised web link and the individualised referral code to your Friends. The link will take your Friends to an individualised landing page via which they can place an order; or

b) otherwise give your individualised referral code (displayed in your VAHA App) to friends, which they can enter via the normal ordering process. 

3.2 You acknowledge that the personalised landing page accessed by the recipient of a Referral will state your first name, as the person making the Referral.  By agreeing to these Terms you consent to your first name being displayed on the recipient’s personal landing page.  Please see our privacy policy for further details of how we protect your personal data.

3.3 You must respect these Terms when making the Referral and only send Referrals to real natural persons who meet the requirements of these Terms. You cannot make a Referral to yourself (for example, using an alternate email address).

 

4. Rewards

4.1 For each Referral you make that is eligible for a Reward in accordance with these terms you will receive, subject to the verification of the Reward by VAHA under clause 6 below which remains at VAHA’s sole discretion, three (3) months of basic membership free of charge (value: 117 GBP). A Reward will be automatically credited to your member account.

4.2 You may not receive more than four Rewards in any twelve month period.

 

5. Verification and credit

5.1 Rewards will be verified by VAHA before being credited. VAHA may delay the credit of any Reward to your member account while it verifies the eligibility of the Reward. 

5.2 VAHA may refuse to process a transaction, or credit a Reward to you, that it reasonably believes: is fraudulent or suspicious, violates these Terms, or imposes potential liability on VAHA, its subsidiaries, its affiliates, or any of their respective officers, directors, employees, agents and representatives. 

5.3 All decisions of VAHA shall be final and binding, including decisions as to whether to confirm a Referral as being eligible for a Reward.

5.4 Rewards have no cash value and cannot be redeemed for cash. Rewards are not transferable and cannot be auctioned, traded, bartered or sold.

 

6. Duties of the User and prohibited conduct

6.1 You may only make Referrals in accordance with applicable law and these terms and conditions in order to receive Rewards. In particular, you undertake in connection with the Referral function not to make any advertising of your own, to make any other commercial offers or to use recommendations in the context of illegal or immoral content.

6.2 You undertake to send Referrals in the form of e-mails, text messages (SMS), social media messages (e.g. on Facebook), other messenger messages etc. only to persons who have expressly agreed to receive recommendations from you.

6.3 You may not make any changes to the content of the website, in particular the individual landing page of VAHA. You may, however, include additional information in your message to the recipient of the Referral, provided that such information is factual and accurate and does not violate these Terms  or applicable law.

6.4 You undertake not to use any illegal or immoral methods (in the sole determination of VAHA) in connection with Referrals, in particular in the form of misleading, deceiving, threatening or coercing the recipient of the Referral. You must also not conceal the fact that you receive a Reward for a successful Referral.

6.5 You are prohibited from using web links or referral codes generated by VAHA in an immoral manner (in the sole determination of VAHA). This includes in particular copying and advertising the web links and referral codes on websites that are harmful to minors, radical, pornographic, glorifying violence or discriminatory, as well as the use of LayerAds, ForcedClick or similar methods.

6.6 You agree not to use the Referral programme for the following purposes:

- Violation of applicable law,

- Infringement of intellectual property rights of VAHA or third parties,

- Collect or store personal data about other users/customers,

- impersonate or otherwise falsify the identity of any user/customer,

- Interfering with, disrupting, or violating the terms of, or servers or networks connected to the Referral function; or disobeying any requirements, procedures, policies or regulations of such networks,

- Interfering with another user's use of the Referral function,

- Attempting to gain unauthorised access to the Referral function, other accounts associated with the function, computer systems or networks,

- Transmitting a file containing viruses, worms, Trojan horses or other harmful or destructive features,

- committing or causing to be committed any unlawful act or any other act which infringes the rights of any third party,

- publicly sharing the individualised web link or Referral code (in forums, websites, social media, etc.)

- reselling, bartering, trading, auctioning or otherwise generating revenue from/with Rewards or other benefits from the Referral function.

 

7. Fraudulent and suspicious behaviour

7.1 VAHA may prohibit a User from using the Referral links or codes, as well as suspend the awarding of Rewards, should it be determined that such User is attempting to interfere with the fairness principles, integrity or lawful operation of the Referral function in any manner by cheating, hacking, deception or other unfair practices with the purpose of annoying, abusing, threatening or insulting other users or representatives of VAHA.

7.2 The use of the network properties, automated systems, scripts or macros to participate is strictly prohibited and will result in disqualification for eligibility for any Rewards.

7.3 Users must not register with multiple or fake email addresses or accounts, use fictitious identities, use any system, bot or other device, or use any trick to obtain Rewards.

7.4 VAHA reserves the right to exclude any User and / or reverse (any) Reward(s) should VAHA find that a User has tampered with the operation of the Referral feature or breached these Terms.

7.5 Any attempt to intentionally damage or undermine the legitimate operation of the Referral feature may constitute a violation of criminal or civil law and will result in exclusion from participation in the Referral feature.

 

8. Liability

8.1 Unless otherwise stipulated in these Terms, VAHA limits its liability to the fullest extent permitted by law.

8.2 VAHA shall not be liable to a User for any losses suffered by a User as a result of any decision by VAHA to deemed a Referral to be ineligible for a Reward.

8.3 You acknowledge that:

a) the making of a Referral, and the granting of any associated Reward, involves no cost to you imposed by VAHA; and

b) the making of a Reward by VAHA under these terms remains within the sole discretion of VAHA at all times, and that you have no contractual right to receive any Reward.

 

8. Other

9.1 All disputes, claims and causes of action arising out of or in connection with these Terms and the awarding of any Reward shall be resolved or settled in accordance with English law. 

9.2 These Terms constitute the entire agreement between Users and VAHA with respect to the making of Referrals. VAHA's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. The section headings in these Terms are for convenience only and have no legal or contractual effect. A person who is not a party to these Terms does not have the right to enforce or assert rights under any provision of these Terms.
